Tesla CEO Elon Musk is once again at the center of a corporate firestorm — this time over a record-breaking $1 trillion compensation proposal that’s dividing investors, watchdogs, and governance experts ahead of a crucial shareholder vote.

The plan, set forth by Tesla’s board, ties Musk’s payout to a series of ambitious performance goals — including massive vehicle production targets, expansion of its autonomous “robotaxi” network, and achieving a staggering $8.5 trillion market capitalization. If those milestones are met, it would make Musk’s package one of the largest in corporate history.

However, not everyone is convinced. Influential proxy advisory firm Institutional Shareholder Services (ISS) has urged investors to vote against the plan, calling it “excessive in both scale and structure.” Labor unions, state pension funds, and governance groups from states including Nevada and Connecticut have also voiced opposition, citing concerns over board independence, shareholder dilution, and Musk’s divided attention across his other ventures — SpaceX, X (formerly Twitter), and xAI.

Tesla’s board has defended the proposal as essential to retaining Musk’s leadership and vision. Board Chair Robyn Denholm warned that Musk could reconsider his role if the package is rejected, saying the compensation is “a direct investment in Tesla’s future under Elon’s guidance.”

The dispute has drawn sharp opinions from both sides: supporters argue the plan directly rewards measurable success, while critics warn it reflects the growing imbalance between executive power and shareholder accountability.

With the shareholder vote approaching, the outcome could shape Tesla’s future leadership — and set a precedent for how far corporate America is willing to go to keep its biggest visionaries behind the wheel.
